Terms of Service

Welcome to Gymbiote. These Terms of Service ("Terms") form a binding agreement between you and The Gymbiote Company Inc. ("Gymbiote," "we," "us," or "our") governing your access to and use of the Gymbiote mobile application and the gymbiote.com website (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian. By using the Service you represent that you meet these requirements and have the legal capacity to enter into these Terms.

2. Account registration

To access most features you must create an account. You agree to (a) provide accurate sign-up information, (b) keep your credentials confidential, (c) be responsible for all activity that occurs under your account, and (d) notify us promptly at support@gymbiote.com if you suspect unauthorised access. One account per person; bots, automated clients, and shared accounts are prohibited.

3. License to use the Service

Subject to your compliance with these Terms, Gymbiote grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Service for your own non-commercial entertainment. All rights not expressly granted are reserved.

4. Intellectual property

All content in the Service — including but not limited to the gymbiote creatures, art, names, descriptions, music, sound effects, gameplay mechanics, user-interface designs, the "Gymbiote" name and logo, and all underlying software — is owned by The Gymbiote Company Inc. or its licensors and is protected by intellectual-property laws. Nothing in these Terms transfers ownership of any of that material to you.

5. User content

"User Content" means anything you submit to the Service that other users may see — for example, your trainer name, gymbiote nicknames, and messages sent in trades. You retain ownership of your User Content, but you grant Gymbiote a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, display, reproduce, and distribute it as necessary to operate the Service and provide it to other users you choose to interact with.

You agree that your User Content will not contain anything that is unlawful, harassing, threatening, hateful, discriminatory, sexually explicit, defamatory, fraudulent, or that infringes anyone's intellectual property or privacy rights. We may remove or modify User Content that violates these Terms or that we reasonably believe could expose us or other users to liability, without prior notice.

6. Acceptable use

When using the Service you agree NOT to:

• Cheat, exploit bugs for in-game advantage, or use third-party tools to modify gameplay state. Workout data is a real-world signal; falsifying it (e.g. shaking your phone to inflate step counts) violates these Terms.
• Decompile, reverse-engineer, or attempt to extract source code from the Service.
• Use the Service to harass, threaten, dox, or impersonate other users.
• Sell, transfer, or trade Gymbiote accounts, REPS, or in-game items for real-world money or other consideration outside the official in-app purchase flow.
• Use automated means (bots, scripts, scrapers) to access the Service.
• Interfere with the operation of the Service, our servers, or other users' enjoyment of it.
• Use the Service in any way that violates applicable law or regulation.

Violations may result in warnings, in-game penalties, suspension, or permanent termination of your account, at our reasonable discretion.

7. Subscriptions and in-app purchases

7.1 How purchases work

Gymbiote offers (i) consumable in-app purchases of REPS bundles, (ii) consumable purchases of Bond Rings and other in-game items, and (iii) auto-renewing subscriptions (Gymbiote+, Gymbiote PRO, and APEX) that unlock additional team slots, recovery encounter slots, and other premium features. Prices and entitlements are shown in the app at the time of purchase.

7.2 Auto-renewal

Subscriptions automatically renew at the end of each billing period at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period. Your payment method will be charged for renewal within 24 hours before the period ends. To cancel:

• iOS: Settings → [your name] → Subscriptions → Gymbiote → Cancel Subscription.
• Android: Google Play Store → profile icon → Payments & Subscriptions → Subscriptions → Gymbiote → Cancel.

Cancellation takes effect at the end of the current paid period; you retain access to subscription features until then.

7.3 Refunds

All purchases are billed and refunded by Apple (for iOS) or Google (for Android) under their respective platform refund policies. We cannot issue refunds directly. Visit reportaproblem.apple.com or Google Play refund support to request a refund from the platform.

8. Virtual currency and items

REPS, Bond Rings, gymbiotes, and all other items inside the Service are virtual goods licensed for use in the Service only. They have no real-world monetary value, cannot be redeemed for cash, and cannot be transferred outside the Service. Unused virtual goods are forfeited if your account is terminated or the Service is discontinued. Gymbiote may modify, reduce, or eliminate any virtual good at any time at its reasonable discretion, including to balance gameplay.

9. Health and fitness disclaimer

Gymbiote is an entertainment product that rewards real-world physical activity. It is not a medical device, fitness coach, or substitute for professional medical advice. Consult a qualified healthcare provider before starting a new exercise routine, especially if you have any medical condition. You are solely responsible for choosing exercises that are appropriate for your fitness level and for performing them safely. Gymbiote is not liable for any injury, illness, or other harm resulting from physical activity you undertake while using the Service.

10. Service availability and changes

We strive to keep the Service available but cannot guarantee uninterrupted access. We may take the Service offline for maintenance, balance changes, security fixes, or any other reason at our reasonable discretion. We may add, remove, or modify features (including gameplay mechanics, gymbiote balance, item pricing, and subscription tiers) without prior notice. If we discontinue the Service in its entirety we will make reasonable efforts to notify active users in advance.

11. Apple-specific terms

The following applies if you use the Service on an Apple device:

• These Terms are entered into between you and Gymbiote, not Apple. Gymbiote — not Apple — is solely responsible for the Service and its content.
• Your licence to use the Service on iOS is limited to use on Apple-branded devices you own or control, in accordance with Apple's Usage Rules in the App Store Terms.
• Apple has no obligation to provide maintenance or support for the Service.
• If the Service fails to conform to any applicable warranty, you may notify Apple and Apple will refund the App Store purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever for the Service.
• Apple is not responsible for product claims, including (i) claims that the Service fails to conform to any applicable legal or regulatory requirement, (ii) claims arising under consumer-protection or similar legislation, and (iii) third-party claims that the Service infringes intellectual-property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you as a third-party beneficiary.

12. Termination

You may stop using the Service at any time and delete your account from Profile → Settings → Delete Account. We may suspend or terminate your account, with or without notice, if you violate these Terms, if continued provision of the Service is no longer commercially viable, or as required by law. On termination, your licence to use the Service ends and we will delete your personal data as described in our Privacy Policy. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, dispute resolution, etc.) will continue to apply.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law we disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted access. We do not warrant that the Service will be free of bugs, errors, or security vulnerabilities, or that any defects will be corrected.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event will Gymbiote, its officers, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (i) the amount you paid to Gymbiote for the Service in the twelve (12) months preceding the event giving rise to the claim, or (ii) USD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest amount permitted by law.

15. Indemnification

You agree to indemnify and hold Gymbiote and its affiliates, officers, directors, and employees harmless from any claim or demand — including reasonable attorneys' fees — made by any third party arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) your User Content.

16. Governing law

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles, except where superseded by mandatory consumer-protection laws of your country of residence.

17. Dispute resolution

Most disputes can be resolved by emailing support@gymbiote.com; we will attempt to resolve the issue informally within 30 days. If the dispute cannot be resolved informally, it will be resolved exclusively in the state or federal courts located in Delaware, U.S.A., and you consent to the jurisdiction of those courts. Nothing in this section prevents you from bringing a claim in small-claims court if it qualifies, or from contacting your local consumer-protection authority.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date and notify active users inside the app. Continued use of the Service after a change constitutes acceptance of the revised Terms.

19. Miscellaneous

These Terms, together with the Privacy Policy and any platform-specific terms (Apple App Store, Google Play), make up the entire agreement between you and Gymbiote regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce a right or provision does not waive it. You may not assign these Terms; we may assign them to an affiliate or in connection with a corporate transaction.
